1. Agreement to Terms

Welcome to Petside. These Terms of Service ("Terms") govern your access to and use of our pet community platform, including our website, mobile applications, and related services (collectively, the "Service"). Petside is operated by Ascend Leads, LLC, Philadelphia, PA.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You must be at least 18 years old to use this Service. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

Petside provides a platform that connects pet owners with potential adopters, and facilitates playdates (finding playmates, companions, or breeding partners for pets). Our Service includes:

• Pet profile creation and management for owners
• Browsing and matching features for potential adopters
• Playdates features for finding compatible pets
• Messaging between matched users
• Community features including forums and success stories
• Premium subscription features

Petside is a platform that facilitates connections but does not participate in actual pet adoption transactions or take custody of any animals.

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion.

4. User Conduct

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Post false, misleading, or fraudulent information about pets or yourself
• Engage in pet trafficking, animal abuse, or any illegal activities related to animals
• Harass, threaten, or intimidate other users
• Post content that is defamatory, obscene, pornographic, or offensive
• Impersonate another person or entity
• Spam, solicit, or advertise without authorization
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers
• Use automated means (bots, scrapers) to access the Service without permission
• Collect or harvest personal information of other users
• Use the Service for any commercial purpose not expressly permitted

5. Pet Listings and Adoption

5.1 Accuracy of Information

Pet owners are solely responsible for the accuracy of pet listings, including but not limited to species, breed, age, health status, temperament, and any known behavioral issues. Providing false or misleading information may result in account termination.

5.2 Pet Ownership

By listing a pet on our platform, you represent and warrant that you are the legal owner of the pet or have authorization from the owner to facilitate adoption.

5.3 Adoption Transactions

Petside does not participate in or assume responsibility for adoption transactions between users. All arrangements regarding pet adoption, including fees, transportation, and transfer of ownership, are solely between the parties involved. We strongly encourage users to:

• Meet in safe, public locations
• Verify pet health records and ownership
• Consider home visits before finalizing adoptions
• Follow local laws regarding pet ownership transfer

6. Playdates Features

Our playdates feature is designed to help pet owners find playmates, companions, or breeding partners for their pets. Users of this feature agree to:

• Provide accurate information about their pets
• Ensure their pets are healthy and up-to-date on vaccinations
• Supervise all pet interactions
• Take responsibility for any breeding decisions and offspring
• Comply with local regulations regarding pet breeding

Petside is not responsible for any outcomes from pet meetups, including but not limited to injuries, illnesses, or unexpected pregnancies.

7. Subscription and Payment

7.1 Early Access

Petside is in an early-access period. During it, every feature is available at no cost and we don't collect payment details. Before paid plans begin, we'll tell you by email at least 30 days in advance. You'll never be charged unless you choose a paid plan.

7.2 Free Trial

Once paid plans begin, new users may be offered a free trial. A trial never requires payment details and never turns into a paid plan by itself: when it ends, premium features require a paid plan you choose, and the rest of the Service stays free.

7.3 Subscription Fees

Paid plans are charged at the start of each billing period you choose (monthly, every six months or yearly). Current pricing is displayed on our pricing page. We reserve the right to change prices with 30 days' notice.

7.4 Payment Processing

If you choose a paid plan, payments are processed securely by our third-party payment provider, and you authorize us to charge your payment method on a recurring basis for that plan until you cancel. We do not store your full card details.

7.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. We do not provide refunds for partial months.

8. User Content

8.1 Ownership

You retain ownership of content you post on the Service. However, by posting content, you grant Petside a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content in connection with operating and promoting the Service.

8.2 Content Removal

We reserve the right to remove any content that violates these Terms or that we deem inappropriate at our sole discretion. We may also remove inactive profiles or listings.

8.3 Copyright

You represent that you own or have the necessary rights to post content on the Service and that such content does not infringe on the intellectual property rights of others.

9. Intellectual Property

The Service, including its original content (excluding user content), features, and functionality, is owned by Petside and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, reliability, or completeness of any information provided by users on the platform.

Petside does not verify the identity of users, the health or temperament of listed pets, or the legitimacy of pet ownership claims. Users are responsible for conducting their own due diligence.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PETSIDE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

In no event shall our total liability exceed the amount you have paid to us in the twelve (12) months prior to the claim or one hundred dollars ($100), whichever is greater.

Petside is not liable for any harm, injury, death, or damage caused by or to any pet listed on our platform, or resulting from interactions between users or pets facilitated by our Service.

12. Indemnification

You agree to indemnify, defend, and hold harmless Petside and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you post on the Service
• Any pet adoption or playdates transaction you engage in

13. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You agree to waive your right to participate in a class action lawsuit or class-wide arbitration.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Subject to Section 13, the state and federal courts located in Philadelphia County, Pennsylvania have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, and you consent to their personal jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. For significant changes, we will provide additional notice (such as an email notification or in-app notification).

Your continued use of the Service after any changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Petside regarding the use of the Service and supersede any prior agreements.
